Terms and Conditions of Sale

Effective date: January 1, 2025

By purchasing from DSHOP, you agree to these Terms and Conditions of Sale (“Terms”).

1. Scope; Territory

• Products: Furniture, lighting, accessories, and art, including stock, special order, made‑to‑order, and custom items.
• Territory: DSHOP sells and ships to U.S. addresses only. No international shipping.

2. Quotes

• Accuracy: Please review quotes for product details, finishes, quantities, pricing, taxes, and shipping information. Changes must be requested before purchase to avoid additional fees.
• Validity: Quotes are valid for 30 days from the date issued unless otherwise stated (promotional end dates supersede).
• Lead Times: All lead times and ETAs are good‑faith estimates only and not guarantees.

3. Orders; Acceptance; Changes

• Acceptance: Your order is an offer to purchase. DSHOP accepts by issuing an order confirmation or by shipping. DSHOP may decline/cancel for availability, pricing errors, suspected fraud/misuse, or compliance issues.
• Made‑to‑Order/Custom: Production begins only after written approval of any drawings/specs/finish samples and receipt of required payment (see Section 4).
• Changes: Customer‑requested changes after approval may affect price and lead time and require written change orders and payment of additional costs.

4. Payments; Deposits; Title

• Stock items: Paid in full at checkout unless otherwise stated.
• Orders over $5,000: May be placed with a 50% deposit to initiate; balance is due prior to shipment.
• Made‑to‑Order/Custom: Non‑cancellable after approval and deposit; balance due prior to shipment.
• Overdue balances may be subject to a finance charge of 1.5% per month (or the maximum permitted by law). DSHOP may hold shipments or refuse new orders if a balance is overdue.
• Title/security interest: Title passes upon full payment. To the extent permitted by law, you grant DSHOP a purchase‑money security interest in products until paid in full.

5. Pricing; Taxes; Fees

• Prices are in U.S. Dollars and exclude sales/use tax, shipping, delivery services (e.g., white‑glove), installation, and assembly unless stated.
• DSHOP collects sales tax where required. Provide a valid resale/exemption certificate before purchase if claiming exemption.
• Freight quotes are estimates; surcharges (fuel, liftgate, inside delivery, stairs, remote access, appointment, re‑delivery, COI) may apply.

6. Returns, Exchanges, and Cancellations

• Incorporated Policy: DSHOP's Returns & Exchanges Policy, available at https://shop.thedpages.com/pages/returns, is incorporated into these Terms by reference and governs all returns, exchanges, and cancellations.
• Governing Version: The Returns & Exchanges Policy in effect on your order date applies to that order.
• How to Start: To request a return or exchange, or to report damage/defect, email shop@thedpages.com as instructed in the Returns & Exchanges Policy.
• Custom/Made-to-Order: Custom, made-to-order, and special-order items are non-cancellable after approval and deposit, as detailed in the Returns & Exchanges Policy.
• Conflicts: If there is any conflict between these Terms and the Returns & Exchanges Policy, the Returns & Exchanges Policy controls for return/exchange/cancellation procedures and eligibility; otherwise, these Terms control.
  

7. Lead Times; Storage

• Lead times are estimates and begin upon receipt of required deposit and final approvals. DSHOP is not liable for delays outside DSHOP's reasonable control (carrier issues, supplier constraints, customs, weather, labor, or other force majeure).
• If you request DSHOP hold shipment more than 10 days after the ready date, storage/handling fees may apply, and final payment may still be due. Risk of loss may transfer as if shipped on the ready date.

8. Shipping Methods; Delivery Services

• Carrier/Method: Determined by DSHOP unless otherwise agreed. Freight deliveries are curbside by default.
• Available options (by quote; availability varies by location and item):
  • Parcel: Small items ship via UPS/FedEx/USPS; no appointment or signature in most cases.
  • Freight Curbside: Truck delivery to curb or driveway; driver may remove pallet but does not unbox or place items indoors. Appointment typically required.
  • Threshold: Placement just inside the first dry area (e.g., inside front door or building lobby). No stairs beyond ground level, no unpacking/debris removal.
  • White‑Glove (by request): Room‑of‑choice placement and packaging removal. No assembly unless specifically quoted.
  • White‑Glove with Assembly (by request): Room‑of‑choice, packaging removal, and basic assembly. Installations that affix to walls/ceilings, electrical connections, and hanging art/mirrors are excluded.
• Site Requirements: Measure all access points (doorways, hallways, stairs, elevators) before ordering. Additional fees may apply for stairs, difficult access, ferry/island delivery, specific time windows, after‑hours/weekend delivery, required COIs, re‑delivery, or address changes after dispatch. Notify DSHOP of access constraints at order placement.

9. Delivery; Inspection; Damage or Shortage Claims

• At Delivery: Inspect cartons and contents. Note any visible damage or shortages on the carrier’s delivery receipt at delivery and take photos.
• Notice Periods: Report visible damage/shortage within 72 hours of delivery; report concealed damage within 5 days. Email shop@thedpages.com with photos and your order info. Retain all packaging for carrier inspection.
• Right to Refuse: If damage is apparent, you may refuse delivery of the affected item(s). For commercial warehouses/contract deliveries, ensure damage/shortages are noted on the POD and photographed on receipt.
• Remedies: DSHOP may repair, replace, or arrange parts, at our discretion and consistent with Section 6.

10. Product Variations; Samples; Art

• Many items are handcrafted or use natural materials; reasonable variations in color, grain, texture, finish, patina, and dimensions are not defects. Finish/fabric samples are indicative; dye lots may vary.
• For original art/limited editions, you acquire the physical work only; copyright remains with the artist/rights holder. No reproduction without permission.

11. Installation; Site Conditions; Use

• Installation/assembly are not included unless expressly stated. Hardwired lighting must be installed by a licensed electrician in accordance with local codes and manufacturer instructions.
• You are responsible for site readiness (e.g., blocking, junction boxes, voltage, adequate structure/support, elevator/truck access) and for confirming control/dimmer compatibility prior to purchase.
• Field modifications, improper installation, or non‑standard use are at your risk and may void warranty.

12. Warranty; Disclaimers; Limitation of Liability

• DSHOP Limited Warranty (for DSHOP‑branded items): For 1 year from shipment, products are warranted to be free from defects in materials and workmanship under normal use and proper installation.
• Third‑Party Brands: Manufacturer warranties apply where available and may require direct claims with the manufacturer.
• Exclusions: Bulbs/lamps, fuses, wear items; natural/hand‑applied finish variation and patina; damage from improper installation, misuse, alteration, improper cleaning, inadequate site conditions; commercial use beyond design intent; and transit damage.
• Remedies: At DSHOP's option, DSHOP will repair or replace the defective product/part or refund the purchase price. This is your exclusive remedy.
• Disclaimers: To the maximum extent permitted by law, DSHOP disclaims all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement. Some states do not allow limits on implied warranties; these may not apply.
• Limitation of Liability: To the maximum extent permitted by law, DSHOP is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages (including lost profits, loss of use, or business interruption). DSHOP's total liability will not exceed the amount you paid for the affected product(s).

13. Force Majeure

• DSHOP is not liable for delays or failure to perform due to events beyond our reasonable control, including acts of God, pandemics, government actions, labor issues, or transportation disruptions.

14. Governing Law; Venue

• These Terms are governed by the laws of the State of Maryland, without regard to conflict‑of‑laws rules.
• Venue and jurisdiction: State or federal courts located in Baltimore, Maryland shall have exclusive jurisdiction. You consent to such venue.

15. Privacy

• DSHOP's collection and use of personal information is described in DSHOP's Privacy Policy: https://shop.thedpages.com/pages/privacy-policy.

16. Miscellaneous

• Entire Agreement: These Terms, together with your order confirmation and any written specifications or warranties we provide, comprise the entire agreement and supersede prior terms.
• Severability: If any provision is unenforceable, the remainder remains in effect.
• No Waiver: A failure to enforce any provision is not a waiver.
• Assignment: You may not assign your rights or obligations without DSHOP's written consent; DSHOP may assign to an affiliate or successor.
• Updates: DSHOP may update these Terms from time to time; the version in effect on your order date applies to that order.
